1. Definitions

• "Passalong" / "We" / "Us" — Passalong, a record organisation and facilitation practice at 138 Dibuk Road, Talat Yai, Mueang Phuket, Phuket 83000, Thailand.
• "Services" — the record organisation sessions, Handover Toolkit, and facilitated family conversation programmes offered by Passalong.
• "Client" / "You" — any individual who uses this website or engages Passalong for Services.
• "Agreement" — these Terms & Conditions, together with any booking confirmation.
• "Toolkit" — the Handover Toolkit digital product, including all templates, labels, and checklists supplied by Passalong.

2. Acceptance of Terms

By using this website, submitting an enquiry, or purchasing any Service, you confirm that you are at least 18 years of age and have the legal capacity to enter into a binding agreement. If you are engaging on behalf of a family unit or organisation, you represent that you have authority to do so.

Continued use of the website or Services constitutes acceptance of these Terms as they stand at the time of use.

3. Service Description

Passalong provides administrative and educational services focused on personal record organisation and family facilitation. Our three current offerings are:

• Records Handover Session — a guided session to help organise and label key family records.
• Handover Toolkit — a self-guided digital kit of templates, labels, and checklists.
• Facilitated Family Conversations — a series of structured facilitation sessions paired with record organisation work.

Scope limitation: All Services are organisational and educational in nature only. Passalong does not offer legal advice, financial advice, drafting of any legal instrument, or representation of any kind. Nothing provided in any Service constitutes professional advice of any kind.

4. Client Responsibilities

By engaging our Services, you agree to:

• Provide accurate information when making an enquiry or booking
• Attend or participate in booked sessions at the agreed time
• Not use the Toolkit or session outputs for any unlawful purpose
• Not share Toolkit materials with third parties outside your immediate family
• Obtain appropriate professional advice (legal, financial, or otherwise) for any matter that falls outside the organisational scope of our Services

5. Intellectual Property

All content on this website and within the Handover Toolkit — including templates, labels, checklists, written guidance, and design — is the intellectual property of Passalong. Purchase of the Toolkit grants you a personal, non-transferable, non-exclusive licence to use the materials within your household. You may not resell, redistribute, sublicence, or publish any part of the Toolkit.

6. Payment Terms

All prices are in Thai Baht (฿) and include applicable taxes unless stated otherwise. Full payment is required prior to the commencement of a session or delivery of the Toolkit. For the Facilitated Family Conversations programme, a 50% deposit is required at booking, with the balance due before the second session.

Cancellation and rescheduling: Sessions may be rescheduled at no charge with at least 48 hours' notice. Cancellations with fewer than 48 hours' notice may be subject to a 50% cancellation fee. Toolkit purchases are non-refundable once the digital materials have been delivered.

7. Disclaimers

Services are provided on an "as available" basis. Passalong makes no representation that the organisation of records or the facilitation of conversations will produce any specific outcome for the client or their family.

Nothing in our Services constitutes legal, financial, tax, or professional advice of any kind. Clients requiring such advice should engage appropriately qualified professionals independently.

8. Limitation of Liability

To the fullest extent permitted by Thai law, Passalong's total liability to any client shall not exceed the amount paid for the relevant Service. We shall not be liable for any indirect, incidental, or consequential loss arising from use of our Services or website.

We are not liable for any loss arising from reliance on our Services as a substitute for qualified legal, financial, or professional advice.

9. Indemnification

You agree to indemnify and hold Passalong harmless from any claims, losses, or expenses (including reasonable legal fees) arising from your breach of these Terms or your misuse of our Services.

10. Termination

Either party may terminate an engagement by providing written notice. Passalong reserves the right to decline or discontinue Services where a client's behaviour is disruptive, harmful, or inconsistent with the facilitative and administrative nature of our work. Sections 5, 7, 8, 9, and 13 of these Terms survive termination.

11. Confidentiality

Passalong treats all information shared during sessions and programmes as confidential. We do not retain copies of client documents and will not disclose session content to third parties except as required by applicable law.

12. Dispute Resolution and Governing Law

In the event of a dispute, the parties agree to first attempt to resolve the matter informally by contacting us at [email protected].

These Terms are governed by the laws of the Kingdom of Thailand. Any unresolved dispute shall be subject to the exclusive jurisdiction of the courts of Phuket Province, Thailand.

13. General Provisions

• Entire Agreement: These Terms, together with any booking confirmation, constitute the entire agreement between the parties in relation to the Services.
• Severability: If any provision of these Terms is found to be unenforceable, the remainder will continue in effect.
• No Waiver: Failure to enforce any provision does not constitute a waiver of future enforcement rights.
• Assignment: You may not transfer rights under these Terms without our prior written consent.

14. Changes to These Terms

We may update these Terms from time to time. The updated version will be posted on this page with a revised date. Continued use of the website or Services after the effective date constitutes acceptance of the revised Terms.
